Remit

This position will include all the traditional responsibilities of being Group Company Secretary to a PLC Board including providing strong corporate governance guidance and advice. This will include responsibility for all Boards, Committees and Corporate Governance, AGMS and all associated issues, Stock Exchange requirements, Report and Accounts; Share Registration/Shareholder Communication; Corporate Structure administration and supporting the Head of Group Tax and Treasury with M&A, strategic transactions and Group reorganisations. Another important function of the role will be to manage the Singapore IHQ office.

Experience & Qualifications

The successful candidate will be ACIS/FCIS qualified Company Secretary with a current listed Plc background. He/she must be a self starter willing to take responsibility and able to assess issues from a commercial perspective whilst retaining a focus on the detail – being solutions oriented is key. A legal background would be advantageous, however it is not essential. Of equal importance is personality. Candidates must have a positive, commercial, can do attitude and be capable of leading the newly established Singapore HQ. Secretary to Governing Board

To be the chief deputy of the President in supporting the work of the Governing Board and to work closely with the President to identify issues that deserve attention by the Board and to develop annual agendas for the Board as well as governance policies.

Duties and Responsibilities

The principal duties and responsibilities are to:
  • Serve as the Secretary to the Board and to the Executive Committee and oversee the staffing for the minutes and materials for all other committees to ensure appropriate records are created and archived;
  • Ensure that the College stays abreast of best practices in collegiate governance and work with the President and Board Chair to implement policies and procedures that make the College a model of good governance;
  • Advise the President and members of the Board about matters germane to the professional responsibilities of the Board, including compliance with applicable rules, regulations and policies;
  • Provide administrative support to the Chair of the Governing Board, Chairs of Board Committees and to individual Governing Board members in carrying out their responsibilities and ensure appropriate materials are prepared for the Board and its committees;
  • Facilitate communication (1) on Board matters between the Chair of the Governing Board, Senior Management of the Yale-NUS College, Senior Management of NUS and the Board more generally and (2) take responsibility for ensuring that the Board members are regularly updated about the affairs of the College between meetings of the Board;
  • Manage the arrangements for all meetings of the Board and its committees;
  • Support the President in identifying candidates for the Board and for other volunteer assignments at the College;
  • ,aintain the official record of the Governing Board's business and keep under review terms of reference of Board Committees;
  • Assist the President in important special projects that will arise, often of sensitive nature; and
  • Perform such other duties as assigned by the President including any other standard company secretary functions.
Requirements
  • At least a degree. A Chartered Secretary qualification and/or membership of a professional body for company secretaries and other senior corporate administrators would be advantageous.
  • 5-7 years' experience gained preferably from a knowledge-based multi-cultural organization in a similar role. Experience in an academic institution would be advantageous.
  • Excellent communication and interpersonal skills with great sensitivity to working in a diverse cultural environment.
  • Independent, analytical with excellent planning, multi-tasking and organisational skills and a demonstrated ability to work with diverse teams and individuals.

Report directly to SAS, Corporate Secretarial Manager on general corporate secretarial and administrative duties, including –
  • Set up and administration of companies within the Group, including Singapore incorporated companies, and offshore companies.

Responsibilities:
  • Manage a portfolio and providing solutions of existing clients and their companies.
