  • Providing back-up to the Finance Administration Manager and the Bank Account Controller/Administrator, based in Geneva, Switzerland
  • Responsible for obtaining constitutional documents to respond to Know-Your-Client and other compliance requests
  • Prioritising received requests, once have gathered all the information to respond to the purpose of the received requests
  • Assisting with coordination of execution of documents in relation to Trade Finance, Structured Trade Finance, and Bank Account Opening requests as well as corporate restructuring and intragroup company administration
  • Liaising with notaries/lawyers/company secretarial administrators in relation to Finance matters, Minutes to be recorded in Company books, Common Seal affixed on powers of attorney and other matters as directed by Line Managers
  • Responsible for following up on Minutes/PofA signatures, recording, scanning, liaise with Geneva & London office in relation to Finance Facilities documents
  • Assisting, on request, the Company Secretary in issuing/coordinating/liaising/scanning relevant documents
  • Scanning, saving, filing documents (paper & electronic), in order to keep the company files up to date
  • Assisting in keeping Intralinks database up to date, grant access on request
  • Assisting in processing/raising payment order into Pluto ( computer-based in-house payment administration system)
  • Assist with daily ad hoc administration work when required
Person:
Knowledge & Skill:
  • 3 years apprenticeship in a financial institution, or partially ICSA qualified, or holding a Certificate equivalent to Institute of Legal Executives (ILEX), United Kingdom

To continue taking our growing business forward we wish to appoint a Company Secretary/ Accountant/Corporate Administration Professional with a hands-on approach and motivated to shape the growth of our fast-moving international operations in the coming years.

Role: Company Secretary / Senior Corporate Administrator

Core responsibilities and tasks:
  • Administer and pro-actively manage the corporate secretarial and financial affairs of approximately 20 Singapore based legal entities (mainly limited liability company and includes some joint-ventures), which operate as trading companies with others functioning as holding companies for overseas subsidiaries within the Trafigura group
  • Liaise with and support the Trafigura divisions; finance (trade, structure finance, credit, management accounting, treasury) as well as the group’s company structure/secretarial and tax departments which operate predominantly from Europe
  • Coordinate ACRA filings ( charges, annual return, XBRL financials), notarisation and legalisation of documents and the maintenance of the statutory records of all Singapore entities
  • Coordinate board minutes and resolutions, powers of attorney and proxies, Annual and Extraordinary General Meetings, incorporations, restructuring, share transfers and issuance, changes to articles and boards etc.
  • Liaison with auditors and group service providers such as external lawyers, notaries and corporate services providers
  • Drafting, coordinating/overseeing the execution of documents – resolutions, board minutes, powers of attorneys, bank facilities, share transfer, loan and services agreements
  • Acting in an advisory capacity to directors and willing to structure the local company secretarial department in terms of document/record management and other administrative processes
Person:

Experience/Knowledge/Skill:
  • Ideally ICSA qualified or associate member by virtue of post-graduate degree (eg MSc in Finance or MBA) or a qualified accountant
  • Current up to date knowledge of Companies Act, MAS, compliance developments regarding IFRS and Risk Management
  • 8-10+ years of experience – a good team player, proactive, comfortable to operate at board level and with joint-venture counterparties
  • Highly developed organisational and administration skills
  • Accustomed to working accurately and efficiently within tight deadlines
  • Excellent command of Microsoft Excel and other Microsoft Office products
  • Excellent command of English
  • Blueprint Oneworld experience preferred
