Associate, Corporate Secretariat
Responsibilities:
- Handle and maintain the statutory records of a portfolio of Singapore private limited companies and limited liability partnerships independently
- Able to E-file on ACRA’s Bizfile portal and E-Stamp on IRAS E-Stamping portal
- Prepare/review minutes of Directors’ and Shareholders’ meetings and Directors’ and Shareholders’ resolutions.
- Ensure compliance with relevant statutory and regulatory requirements
- All other Corporate Secretarial duties
- General administrative work
Requirements:
- Has attained the Professional Certificate of the Institute of Chartered Secretaries and Administrators (“ICSA”)
- At least 1 year of relevant corporate secretarial experience
- Knowledge of Viewpoint preferred
- A good command of written and spoken English
- Proactive, professional, hardworking, good working attitude, willing to learn, take challenges and possess good organising & coordinating skills
- Good & pleasant communications and interpersonal skills
- Able to engage with people from different nationalities and cultures

Requirements/Job Description:
- ICSA graduate or pursuing ICSA courses
- At least 1 year experience for an assistant and 3 years for a senior
- Fluent in English
- Corporate Secretarial experience in Listed Companies would be a distinct advantage
- Good Microsoft Office user skills

- Manage a varied portfolio of clients independently (depending on level) including preparation and coordination of board and shareholder meetings, taking minutes of directors and shareholder meetings, drafting resolutions
- Maintain and update statutory records

1. Corporate Secretarial Manager
Key Accountabilities
- Hold portfolio and manage clients
- Manage Account Receivables, retention of clients, time charge of staff
- Manage 1-2 staff, train / guide staff in technical work and management of clients
- Assist in reviewing technical issues/matters of corporate secretarial work (e.g. new regulations, legislation, etc)
- Assist Senior Manager in overseeing of own team/portfolio
Requirements:
- Full or Partial ICSA
- Several years of similar work experience
- Supervisory experience advantageous
- Self motivated team player with leadership qualities
- Good interpersonal skills & customer service oriented.
2. Corporate Secretarial Executive
Key Accountabilities
- To advise and assist the members of the board with respect to their duties and responsibilities as directors and compliance with their obligations under the Companies Act, Stock Exchange requirements and issues on corporate governance.
- To act as a channel of communication and information to executive and non-executive directors.
- To ensure that the board’s decisions are properly implemented and communicated by assisting in the implementation of corporate strategies and policies
- To ensure proper compliance with all relevant statutory and regulatory requirements.
- To communicate with the stakeholders of the company as appropriate so
as to ensure that due regards are paid to their interests.
Requirements:
- Full or Partial ICSA
- At least 3 years of relevant work experience
- Pleasant, polite, professional, hardworking, good working attitude, willing to learn and take challenges
